1. Definities1. Definitions
In deze voorwaarden wordt verstaan onder: "HMH" of "wij": Holland Marine Hardware, gevestigd te Zwanenburg, KvK 706.384.54; "klant": iedere natuurlijke of rechtspersoon die met HMH een overeenkomst aangaat of daartoe een aanvraag doet; "producten": alle door HMH aangeboden apparatuur, onderdelen en diensten, waaronder AIS-, tracking-, reddings- en navigatiesystemen.In these terms: "HMH" or "we/us" means Holland Marine Hardware, based in Zwanenburg, KvK 706.384.54; "customer" means any natural or legal person entering into, or requesting, an agreement with HMH; "products" means all equipment, parts and services offered by HMH, including AIS, tracking, rescue and navigation systems.
2. Toepasselijkheid2. Applicability
Deze voorwaarden gelden voor iedere aanbieding, offerte en overeenkomst tussen HMH en de klant, tenzij partijen schriftelijk uitdrukkelijk anders zijn overeengekomen. Eventuele inkoop- of andere voorwaarden van de klant worden uitdrukkelijk van de hand gewezen.These terms apply to every offer, quote and agreement between HMH and the customer, unless the parties have expressly agreed otherwise in writing. Any purchasing or other terms used by the customer are expressly rejected.
3. Aanbiedingen en offertes3. Offers and quotes
Alle aanbiedingen en offertes van HMH zijn vrijblijvend, tenzij daarin uitdrukkelijk anders is aangegeven, en zijn geldig gedurende 30 dagen na dagtekening, tenzij anders vermeld. Getoonde prijzen, specificaties en beschikbaarheid op deze website zijn indicatief; kennelijke fouten of vergissingen binden HMH niet.All offers and quotes from HMH are non-binding, unless expressly stated otherwise, and are valid for 30 days from the date of issue unless stated otherwise. Prices, specifications and availability shown on this website are indicative; obvious errors or mistakes are not binding on HMH.
4. Totstandkoming van de overeenkomst4. Formation of the agreement
Een overeenkomst komt tot stand op het moment dat HMH de (mondelinge of schriftelijke) opdracht van de klant schriftelijk bevestigt, dan wel op het moment dat HMH feitelijk met de uitvoering start.An agreement is formed at the moment HMH confirms the customer's (verbal or written) order in writing, or at the moment HMH actually starts performance.
5. Prijzen5. Prices
Alle prijzen zijn in euro's, exclusief btw en exclusief verzend-, transport- en eventuele installatiekosten, tenzij uitdrukkelijk anders vermeld. HMH mag prijzen aanpassen bij wijzigingen in inkoopprijzen, valutakoersen, heffingen of andere kostprijsfactoren die buiten haar invloed liggen, ook na totstandkoming van de overeenkomst, met dien verstande dat consumenten een overeenkomst mogen ontbinden bij een prijsverhoging binnen drie maanden na het sluiten van de overeenkomst.All prices are in euros, exclusive of VAT and exclusive of shipping, transport and any installation costs, unless expressly stated otherwise. HMH may adjust prices in response to changes in purchase prices, exchange rates, levies or other cost factors beyond its control, including after the agreement is concluded, provided that consumers may terminate the agreement in case of a price increase within three months of concluding the agreement.
6. Levering en levertijd6. Delivery and delivery time
Opgegeven levertijden zijn indicatief en gelden niet als fatale termijn, tenzij uitdrukkelijk schriftelijk anders overeengekomen. Levering vindt plaats af fabriek/magazijn (Ex Works), tenzij anders overeengekomen; het risico van de producten gaat op dat moment over op de klant. Bij overschrijding van een levertermijn treedt HMH pas in verzuim nadat de klant HMH schriftelijk in gebreke heeft gesteld en een redelijke termijn voor nakoming heeft gegund.Stated delivery times are indicative and do not constitute a strict deadline, unless expressly agreed otherwise in writing. Delivery takes place Ex Works (from factory/warehouse) unless otherwise agreed; risk in the products passes to the customer at that point. If a delivery time is exceeded, HMH is only in default after the customer has given written notice of default and allowed a reasonable period for performance.
7. Eigendomsvoorbehoud7. Retention of title
Alle geleverde producten blijven eigendom van HMH totdat de klant alle uit de overeenkomst voortvloeiende verplichtingen, waaronder de volledige koopsom, rente en kosten, volledig heeft voldaan.All delivered products remain the property of HMH until the customer has fully paid all obligations arising from the agreement, including the full purchase price, interest and costs.
8. Betaling8. Payment
Tenzij anders overeengekomen, dient betaling te geschieden binnen 30 dagen na factuurdatum, zonder recht op verrekening of opschorting. Bij overschrijding van de betalingstermijn is de klant van rechtswege in verzuim en is de wettelijke (handels)rente verschuldigd, evenals redelijke buitengerechtelijke incassokosten.Unless otherwise agreed, payment must be made within 30 days of the invoice date, without any right of set-off or suspension. If the payment term is exceeded, the customer is automatically in default and statutory (commercial) interest becomes due, as well as reasonable extrajudicial collection costs.
9. Garantie9. Warranty
Op de door HMH geleverde producten is de fabrieksgarantie van de betreffende fabrikant (o.a. Weatherdock, SeaSafe, Navico Group) van toepassing, zoals door die fabrikant vastgesteld. HMH ondersteunt de klant bij het afhandelen van garantieaanspraken bij de fabrikant, maar is niet verdergaand aansprakelijk dan de betreffende fabrikant jegens HMH. Onverminderd het bovenstaande blijven de wettelijke rechten van consumenten (conformiteit) onverkort van toepassing.Products delivered by HMH are covered by the relevant manufacturer's warranty (including Weatherdock, SeaSafe, Navico Group), as determined by that manufacturer. HMH assists the customer in handling warranty claims with the manufacturer, but is not liable beyond what the relevant manufacturer is liable for towards HMH. This is without prejudice to the statutory rights of consumers (conformity).
10. Herroepingsrecht (consumenten)10. Right of withdrawal (consumers)
Indien een overeenkomst met een consument op afstand tot stand komt (bijvoorbeeld volledig via e-mail of telefoon, zonder gelijktijdige fysieke aanwezigheid van partijen), heeft de consument het wettelijke recht om de overeenkomst binnen 14 dagen na ontvangst van het product zonder opgave van redenen te ontbinden, met uitzondering van producten die op maat zijn gemaakt of om hygiënische/veiligheidsredenen zijn verzegeld en waarvan de verzegeling na levering is verbroken (zoals reddingsvlotten en reddingszenders die zijn geactiveerd, geïnstalleerd of waarvan de verpakking is verbroken ten behoeve van keuring/installatie). Neem voor het uitoefenen van dit recht contact op via getinfo@hollandmarinehardware.nl.If an agreement with a consumer is concluded at a distance (for example entirely by email or phone, without both parties being physically present at the same time), the consumer has the statutory right to withdraw from the agreement within 14 days of receiving the product without giving reasons, except for products that are custom-made or sealed for hygiene/safety reasons where the seal has been broken after delivery (such as life rafts and rescue beacons that have been activated, installed, or whose packaging has been broken for inspection/installation purposes). 11. Onderhoud, keuring en service11. Maintenance, inspection and service
Voor onderhoud, keuring of reparatie van een toestel (bijvoorbeeld een reddingszender of ISO-reddingsvlot) geldt dat de klant het toestel op eigen risico en voor eigen rekening aan HMH aanbiedt, tenzij anders overeengekomen. HMH stuurt het toestel, waar van toepassing, door naar de fabrieksservice of een erkend servicestation en is niet aansprakelijk voor vertraging of gebreken die aan die derde partij zijn toe te rekenen.For maintenance, inspection or repair of a device (for example a rescue beacon or ISO life raft), the customer submits the device to HMH at its own risk and expense, unless otherwise agreed. Where applicable, HMH forwards the device to the manufacturer's factory service or an approved service station and is not liable for delay or defects attributable to that third party.
12. Aansprakelijkheid12. Liability
De aansprakelijkheid van HMH voor directe schade is per gebeurtenis (een reeks samenhangende gebeurtenissen geldt als één gebeurtenis) beperkt tot het bedrag dat in het betreffende geval door de aansprakelijkheidsverzekering van HMH wordt uitgekeerd, dan wel, bij het ontbreken van (dekking onder) die verzekering, tot maximaal het factuurbedrag van de betreffende levering. Aansprakelijkheid voor indirecte schade, waaronder gevolgschade en gederfde winst, is uitgesloten. Niets in deze voorwaarden beperkt de aansprakelijkheid van HMH voor schade door opzet of bewuste roekeloosheid, noch de wettelijke productaansprakelijkheid of de rechten die consumenten dwingendrechtelijk toekomen.HMH's liability for direct damage is, per event (a series of related events counts as one event), limited to the amount paid out under HMH's liability insurance in the relevant case, or, if that insurance does not apply or provide cover, to a maximum of the invoice amount of the relevant delivery. Liability for indirect damage, including consequential loss and lost profits, is excluded. Nothing in these terms limits HMH's liability for damage caused by intent or wilful recklessness, nor statutory product liability or the mandatory rights of consumers.
13. Overmacht13. Force majeure
HMH is niet gehouden tot nakoming van enige verplichting indien zij daartoe verhinderd is als gevolg van overmacht, waaronder in ieder geval begrepen: vertraging of tekortkoming bij toeleveranciers of fabrikanten (waaronder Weatherdock, SeaSafe en Navico Group), transportproblemen, import-/exportbeperkingen, en storingen in energie- of datavoorzieningen.HMH is not obliged to perform any obligation if prevented from doing so as a result of force majeure, which in any case includes: delay or shortcomings on the part of suppliers or manufacturers (including Weatherdock, SeaSafe and Navico Group), transport problems, import/export restrictions, and disruptions in energy or data supply.
14. Intellectueel eigendom14. Intellectual property
Alle rechten van intellectuele eigendom op door HMH verstrekte offertes, documentatie, tekeningen en deze website berusten bij HMH of haar licentiegevers en mogen niet zonder voorafgaande schriftelijke toestemming worden verveelvoudigd of openbaar gemaakt.All intellectual property rights in quotes, documentation, drawings and this website provided by HMH belong to HMH or its licensors and may not be reproduced or disclosed without prior written consent.
15. Toepasselijk recht en geschillen15. Applicable law and disputes
Op alle overeenkomsten met HMH is uitsluitend Nederlands recht van toepassing. Geschillen worden voorgelegd aan de bevoegde rechter in het arrondissement waar HMH is gevestigd, tenzij dwingend recht anders voorschrijft (bijvoorbeeld ten aanzien van consumenten).Dutch law exclusively applies to all agreements with HMH. Disputes are submitted to the competent court in the district where HMH is established, unless mandatory law provides otherwise (for example with respect to consumers).
16. Slotbepalingen16. Final provisions
Indien een bepaling uit deze voorwaarden nietig blijkt of vernietigd wordt, blijven de overige bepalingen onverminderd van kracht; partijen treden dan in overleg om een vervangende bepaling overeen te komen die de strekking van de oorspronkelijke bepaling zoveel mogelijk benadert.
